1. Contracting Entity and Acceptance

These Terms govern access to Potato Intel’s website, applications, agronomy services, AI tools, field support, communications, reports, traceability and related services. The contracting entity is Potato Intel LLP. By affirmatively accepting these Terms or using an account after valid acceptance, the authorised user agrees to them. Role-specific employment, consultancy, enterprise, program, order, proposal, data-processing or confidentiality agreements may also apply and may contain additional terms.

2. Eligibility, Capacity and Authority

Users must have legal capacity to enter the applicable arrangement. A farmer must use the account for the farm/service for which it was created. An enterprise user represents that they are currently authorised by the organisation whose account/program they access. Agronomists may access the system only within their assigned employment, consultancy or contractual authority.

3. Services

Potato Intel provides agricultural intelligence and decision-support. Features may include farmer/crop profiles, field scouting, soil/nutrition/fertigation support, irrigation guidance, crop-protection decision support, weather and satellite intelligence, AI-assisted responses, alerts, traceability, reports, communications, enterprise dashboards and related tools. Features may differ by plan, program, geography, crop stage and user role.

4. Agricultural Decision-Support — No Outcome Guarantee

Agriculture is affected by variables outside Potato Intel’s reasonable control. No recommendation, alert, diagnosis, prediction, report or advisory guarantees yield, quality, profitability, market price, storability, disease/pest control or any particular agricultural outcome. Users must consider actual field conditions and implement recommendations appropriately.

5. User Responsibilities — All Users

• Provide information accurately to the best of your knowledge and promptly correct material errors.
• Use recommendations and reports only in the intended field, crop, variety, stage and context.
• Protect account credentials and promptly report suspected compromise or unauthorised access.
• Use Potato Intel only for lawful and authorised purposes.
• Do not misrepresent Potato Intel outputs, alter records deceptively or use the platform to harm another user or organisation.

6. Farmer-Specific Responsibilities

Farmers remain responsible for actual field implementation, timing, labour, equipment, irrigation, input procurement/application and compliance with applicable product labels and law. Farmers should notify Potato Intel of material changes in field conditions, crop stage, treatments or other facts that may affect a recommendation.

7. Agronomist-Specific Responsibilities

• Access only assigned/authorised farmers, fields and enterprise information.
• Explain the approved farmer onboarding notice and never accept a farmer’s first-login digital choice on the farmer’s behalf.
• Collect only information reasonably necessary for the authorised service.
• Record observations, recommendations and traceability records accurately and do not knowingly fabricate or manipulate them.
• Keep farmer, enterprise and Potato Intel information confidential and use only approved devices, systems and communication channels.
• Do not enter unnecessary identifiable information into unapproved AI tools or external applications.
• Follow Potato Intel agronomy escalation, regulated-input, privacy, security and incident-reporting SOPs.
• Stop access and return or delete authorised local information as instructed on separation or reassignment, subject to applicable retention requirements.

8. Enterprise / Institutional User Responsibilities

• Use the account only while authorised by the relevant organisation and only for the assigned program/role.
• Access only authorised farmers, fields, clusters, reports and data categories.
• Do not use farmer information for unrelated marketing, solicitation, profiling, competitive activity or another unauthorised purpose.
• Do not sell, disclose, scrape, systematically copy, bulk-download or export information except through expressly authorised functions.
• Keep farmer and Potato Intel confidential information secure and do not upload it to unauthorised AI tools, databases or third-party systems.
• Promptly report role termination, suspected misuse, data leakage or credential compromise.

9. Regulated Agricultural Inputs

Any reference to pesticides, fungicides, insecticides, herbicides, plant-growth regulators, fertilisers, biologicals or other regulated agricultural inputs remains subject to applicable law, registration, authorised product labels, dose/application restrictions, PPE and safety directions, pre-harvest intervals and re-entry requirements. Mandatory legal and label requirements prevail over conflicting platform text.

10. AI Limitations

AI-assisted responses may contain errors, omit context or misclassify images. High-risk, unusual, uncertain or rapidly worsening field conditions should be escalated to an authorised Potato Intel agronomist before implementation. AI output is not a substitute for required professional, regulatory or label-based judgment.

11. Satellite and Weather Limitations

Remote-sensing and weather outputs may be affected by cloud, revisit frequency, spatial resolution, field-boundary accuracy, sensor/model limitations and forecast uncertainty. Critical decisions should be checked against actual field conditions.

12. Enterprise Programs and Data Access

Additional program or enterprise terms may apply. Enterprise sponsorship does not automatically transfer ownership of, or grant unrestricted rights in, all farmer information. Program access should follow the agreed data schedule, role permissions and applicable farmer-facing notices. Private farmer support communications are not enterprise-accessible by default unless specifically authorised and appropriately disclosed.

13. Account Security and Access Control

Credentials are personal to the authorised user and must not be shared except through a formally approved organisational access mechanism. Potato Intel may use role-based permissions, authentication controls and audit logs. Access may be restricted or suspended for suspected misuse, security risk, non-payment, termination of authority, program completion or material breach, subject to applicable law and contracts.

14. Fees, Taxes, Renewal and Refunds

Fees, GST, billing cycle, renewal, cancellation and refund terms will be shown in the applicable plan, order, proposal, invoice or enterprise agreement. Where mandatory consumer rights apply, they are not excluded by these Terms.

15. Intellectual Property

Potato Intel and its licensors retain rights in the platform, software, user interface, trademarks, agronomy frameworks, models, reports/templates and proprietary databases. Users receive a limited, non-exclusive, non-transferable right to use the Services for authorised purposes during the applicable service or program. No ownership transfer is implied.

16. User and Farm Data

Personal data is governed by the Privacy Policy. Providing farm records does not by itself transfer ownership of the user’s underlying records to Potato Intel. Subject to law and contract, Potato Intel may create derived analytics and may use appropriately de-identified or aggregated information for analytics, quality improvement, research and product/model improvement.

17. Confidentiality

Agronomists and enterprise users must keep non-public farmer, enterprise and Potato Intel information confidential and may disclose it only to authorised persons for permitted purposes. Separate employment, consultancy, NDA, enterprise or data-processing agreements may impose stricter obligations. These obligations may survive account termination to the extent stated in the applicable agreement or law.

18. Acceptable Use

• Do not access unauthorised accounts or data.
• Do not scrape, probe, disrupt, overload or interfere with the system or security controls.
• Do not reverse engineer except where law expressly permits.
• Do not upload malicious, unlawful, infringing or deceptive material.
• Do not falsify farmer, crop, scouting, recommendation, traceability or audit records.
• Do not evade role permissions or export controls.
• Do not use the service to violate privacy, confidentiality, intellectual-property or other legal rights.

19. Third-Party Services

Potato Intel may rely on cloud, maps, weather, satellite, communications, laboratories, payments, analytics and AI providers. Third-party availability and outputs may be subject to separate terms and technical limitations. Potato Intel remains responsible for its own obligations under applicable law and contracts.

20. Service Changes, Maintenance and Availability

Potato Intel may improve, replace or discontinue features subject to applicable contractual commitments and law. Maintenance, connectivity, provider outages, natural events, governmental action or other events beyond reasonable control may temporarily affect availability.

21. Disclaimers

To the maximum extent permitted by law, the Services are decision-support tools and may contain delays, errors or incomplete information. Nothing in these Terms excludes liability, statutory rights or consumer remedies that cannot legally be excluded or restricted.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Potato Intel LLP, its partners, directors, employees, agronomists, consultants and authorised service providers shall not be liable for indirect, incidental, special, consequential or purely economic loss arising from or relating to the use of the Potato Intel platform, services, recommendations, reports, alerts, forecasts, satellite/weather information, AI-assisted outputs or other decision-support services, including loss of anticipated profits, business opportunities or expected crop yield, except where such liability cannot lawfully be excluded or limited.

Agricultural outcomes depend on numerous factors beyond Potato Intel’s reasonable control, including weather and climate, soil, seed quality, irrigation, pest/disease pressure, input quality, product availability, timing/method of application, equipment, labour, farmer implementation and other field-specific circumstances. No advisory constitutes a guarantee of a particular outcome.

Subject to applicable law and liabilities that cannot lawfully be excluded or limited, Potato Intel’s aggregate liability arising out of or relating to a particular paid service shall not exceed the total fees actually paid to Potato Intel by the affected user for that specific service during the ongoing crop season immediately preceding the event giving rise to the claim. Where a service is free, any limitation applies only to the extent permitted by law. A separately negotiated enterprise agreement may contain a different liability allocation and will govern that enterprise relationship to the extent stated in that agreement.

23. Indemnity

Business and enterprise users will, to the extent lawful and subject to the applicable agreement, be responsible for third-party claims caused by their unlawful misuse, unauthorised disclosure, infringement or material breach. Any indemnity applying to a farmer or consumer must remain fair, proportionate and subject to mandatory statutory rights.

24. Suspension and Termination

Access may end upon cancellation, program completion, termination of employment/contract/authority, security action, non-payment where applicable or material breach. Data consequences are governed by the Privacy Policy, applicable retention requirements and relevant contracts. Clauses that by nature should survive termination, including confidentiality, intellectual property, accrued payment obligations, dispute provisions and lawful record retention, may continue.

25. Governing Law and Dispute Resolution

These Terms and the relationship between the User and Potato Intel LLP are governed by the laws of India.

26. Electronic Records and Communications

Users agree that electronic acceptance records, versioned legal text, audit logs, notices and communications may be maintained as evidence to the extent recognised by applicable law. Users should keep contact information reasonably current so important notices can be delivered.

27. Changes to Terms

Potato Intel may update these Terms. Material changes will be communicated appropriately. Continued use will not substitute for fresh consent where applicable law requires a new affirmative consent. Where renewed contractual acceptance is appropriate, Potato Intel may require acceptance before continued protected access.

28. General

If a provision is held invalid or unenforceable, the remaining provisions continue to the extent legally possible. Failure to enforce a provision is not a waiver. A separately signed enterprise, employment, consultancy or program agreement may prevail over these website/app Terms where it expressly addresses the same subject and states its priority.
